Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Conclave website, applications, and services (collectively, the "Service") operated by Conclave ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Conclave is a software product that sends user-provided prompts and attachments to multiple third-party artificial-intelligence language models in parallel and returns or synthesizes their outputs. The Service does not generate its own model output; all responses originate from third-party AI providers. We act as a conduit and orchestration layer between you and those providers. Quality, accuracy, and availability of outputs are governed by the third-party providers; Conclave makes no representation as to the truthfulness, completeness, or fitness for any purpose of any output.

2. Eligibility and Account

You must be at least 13 years old to use the Service. If you are under 18, you may only use the Service with the consent of a parent or legal guardian. By using the Service you represent that you meet these requirements.

Accounts are created through email magic-link authentication or third-party identity providers (currently Google). You are responsible for safeguarding access to your account and for all activity that occurs under it. Notify us promptly at support@conclavecouncil.com if you believe your account has been compromised.

3. Subscriptions, Billing, and Refunds

The Service offers free usage subject to per-period limits and paid subscription tiers ("Pro," "War Room," and similar) and one-time credit purchases ("Verdict overflow credits"). Pricing is displayed at the point of purchase. Subscriptions renew automatically on a monthly basis until cancelled.

You agree not to use the Service to:

We may suspend or terminate access for violations of these terms, with or without notice. Each underlying AI provider has its own usage policies (Anthropic, OpenAI, Google, xAI, Perplexity, Mistral); your prompts are governed by those policies as well.

5. Your Content and Outputs

"User Content" means prompts, file attachments, and any other materials you submit through the Service. You retain ownership of your User Content. By submitting User Content you grant us a worldwide, non-exclusive, royalty-free license to host, transmit, and process it solely to operate the Service — including forwarding it to the AI providers necessary to fulfill your requests.

"Outputs" means the responses returned by the AI providers in reply to your prompts. As between you and Conclave, you may use Outputs for any lawful purpose. We make no claim to ownership of Outputs. However, Outputs are generated by third-party models whose terms may impose additional restrictions on use, redistribution, or commercial application; you are responsible for complying with those terms when using Outputs.

AI Outputs may be inaccurate, incomplete, or offensive. You should not rely on Outputs for medical, legal, financial, or other professional advice. Verify Outputs independently before acting on them.

6. Third-Party AI Providers

The Service routes your prompts and attachments to one or more of the following third-party AI providers as part of normal operation:

These providers process your prompts and any attached files under their own terms and privacy policies. We are not responsible for the practices, availability, accuracy, or content moderation decisions of these providers. The list of providers may change as we add or remove integrations.

7. Intellectual Property

The Service, including its design, code, branding, and all original content provided by Conclave, is owned by us and protected by intellectual-property laws. Nothing in these Terms grants you any right to use Conclave trademarks, logos, or branding without prior written permission.

8. Disclaimer of Warranties

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE FACTUALLY CORRECT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CONCLAVE, ITS OFFICERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100) OR (B) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Conclave from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your User Content, (b) your use of Outputs, or (c) your violation of these Terms or any third-party right.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access at our discretion, with or without notice, for any reason, including suspected violation of these Terms or to comply with legal requirements. On termination, sections that by their nature should survive (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive.

12. Changes to These Terms

We may revise these Terms from time to time. Material changes will be communicated via the Service or by email to the address associated with your account. Continued use of the Service after the effective date of a revision constitutes acceptance of the revised Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, United States, without regard to its conflict-of-laws provisions. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

14. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Conclave regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right under these Terms is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them freely.
